1. Services Provided

We provide:

• WooCommerce + QuickBooks sync setup and configuration
• Sync repair and troubleshooting
• Monthly bookkeeping (recording, categorization, reconciliation, reporting)
• Business automation, including Google Sheets/Apps Script tools and live reporting dashboards

2. Client Responsibilities

Clients agree to:

• Provide accurate and complete financial and store information
• Submit documents and access in a timely manner
• Review reports and dashboards and notify us promptly of discrepancies
• Maintain their own login credentials for required platforms (QuickBooks, WooCommerce, etc.)
• Authorize the specific connections needed for us to perform the work (e.g., QuickBooks access via Intuit’s official authorization screen)

3. Bookkeeping Disclaimer

Our bookkeeping services are intended to maintain organized financial records and assist with reporting. We do not:

• File tax returns
• Provide tax advice
• Represent clients before tax authorities
• Provide audit assurance services

4. QuickBooks Connection & Reporting Dashboards

For clients using our live dashboard or reporting services:

• You connect your own QuickBooks Online account through Intuit’s official authorization screen — we never receive or store your QuickBooks login credentials
• You may revoke this access at any time, directly from your own QuickBooks account
• Dashboard and report accuracy depends entirely on the accuracy and timeliness of the data in your own QuickBooks account
• Service availability depends on QuickBooks’ own API and platform — we are not responsible for outages, downtime, or policy changes on Intuit’s end

5. Payment Terms

• Fees are agreed per engagement or invoice
• Payment is due according to invoice terms
• Late payments may result in service suspension

6. Confidentiality

We treat all client financial information as confidential and will not disclose it except as required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Sadenas Distributors LLC shall not be liable for:

• Indirect or consequential damages
• Business interruption losses
• Lost profits
• Errors or interruptions resulting from third-party software systems, including QuickBooks/Intuit or WooCommerce

8. Termination

Either party may terminate services with written notice. Outstanding balances remain payable upon termination. Upon termination, we will revoke our own access to any connected accounts within 24 hours — you may also revoke our access yourself at any time, directly from QuickBooks or WooCommerce.

9. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.
